Terms of Service

These Terms of Service ("Terms") govern your use of the Pico Parade application and services ("Service") operated by Pico Parade, Inc. ("we", "us", or "our"). By creating an account, accepting an invitation to join a facility, or otherwise accessing the Service, you agree to be bound by these Terms.
1. Beta Service
Pico Parade is currently in open beta. The Service is provided free of charge during the beta period. We reserve the right to modify, suspend, or discontinue the Service (or any feature of it) at any time, with or without notice. Features may change, and the Service may experience interruptions, downtime, or data issues during this period.
2. Eligibility
The Service is designed for licensed daycare providers in Washington State and the guardians of children enrolled at those facilities. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or, if applicable, your organization.
3. Accounts and Responsibilities
3.1 Facility Owners
- You must provide accurate information when creating your account and maintaining your facility records.
- You are limited to one facility per account.
- You are responsible for inviting only individuals who are authorized to act as guardians for the children enrolled at your facility, and for promptly revoking access when that authorization changes.
- You are responsible for maintaining the security of your account credentials and for any actions taken using your account.
3.2 Guardians
- You may use the Service only after accepting an invitation from an authorized facility.
- You are responsible for maintaining the security of your own account credentials and for any actions taken using your account, including check-ins and check-outs you perform.
- You must provide accurate information about yourself.
3.3 General
You agree to notify us promptly at security@picoparade.com if you suspect unauthorized access to your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, or in violation of any applicable regulation, including Washington State childcare licensing requirements;
- Submit false, misleading, or fraudulent information, including falsified attendance records;
- Attempt to gain unauthorized access to other accounts, facilities, or systems;
- Interfere with, disrupt, or probe the Service or its underlying infrastructure;
- Reverse engineer, decompile, scrape, or otherwise attempt to extract source code or data from the Service except as expressly permitted;
- Resell, sublicense, or transfer access to the Service to any third party;
- Use the Service to harass, stalk, or harm any individual, or to monitor any person other than a child in your facility's care or in your guardianship;
- Upload malware, viruses, or any content that violates the rights of any third party.
5. Data and Records
You retain ownership of all data you submit to the Service, including attendance records, child information, guardian information, and uploaded photos. We store this data on your behalf to provide the Service and grant ourselves only the rights necessary to operate, maintain, secure, and improve the Service.
Important: While we take reasonable measures to protect your data, the Service is in beta and we do not guarantee against data loss. You are responsible for maintaining your own backup records as required by Washington State regulations (WAC 110-300-0455 and related provisions).
6. Child Data โ Authority and Consent
Because the Service involves information about children, facility owners specifically represent and warrant that:
- You have the legal authority to enter information about each child in your facility's care and to authorize guardians to access records related to that child;
- You have obtained any consents required under applicable law from each child's legal guardian(s) before adding the child's information or linking guardians to that child;
- You will not upload or attempt to store child photos in the Service;
- You are responsible for complying with any custody arrangements, court orders, or restraining orders affecting who may receive information about a child or perform check-ins or check-outs, and you will not use the Service to violate such arrangements;
- You will promptly update or remove records when consent is withdrawn, when a guardian's authorization changes, or when a child is no longer enrolled at your facility.
Guardians represent and warrant that they are an authorized guardian of any child whose records they access through the Service and that their use of the Service does not violate any custody arrangement or court order.
Providers and guardians may upload profile photos for their own accounts, and facility owners may upload photos for their facility. You may not upload photos of children. Guardians may choose from the Service's built-in child avatars for children linked to their account. You may not attempt to bypass avatar selection, or use the Service to perform facial recognition, automated face matching, biometric identification, AI tagging, advertising, or model training.
We do not mediate disputes between guardians, between facilities and guardians, or regarding the custody, care, or guardianship of any child. The Service is a record-keeping tool and does not adjudicate authority.
7. Ownership and License
The Service, including all software, designs, text, graphics, logos, trademarks, and the "Pico Parade" name, is owned by Pico Parade, Inc. and is protected by United States and international intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include the right to copy, modify, distribute, sell, or lease any part of the Service, nor to reverse engineer or create derivative works.
8. Feedback
If you provide us with suggestions, ideas, bug reports, feature requests, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without any obligation or compensation to you. You retain any underlying rights in the Feedback; we just gain the freedom to act on it.
9. No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS, NOR THAT ANY DATA WILL BE COMPLETE, ACCURATE, OR PRESERVED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PICO PARADE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF DATA, REGULATORY CITATIONS OR PENALTIES, MISSED COMPLIANCE DEADLINES, LOSS OF BUSINESS, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The Service is a tool to assist with attendance tracking. It does not replace your legal obligation to maintain compliant records as required by Washington State law. You remain solely responsible for regulatory compliance, and we are not liable for any citation, penalty, or enforcement action arising from your records or your reliance on the Service.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so the above limitations may not apply to you to the extent prohibited.
11. Indemnification
You agree to defend, indemnify, and hold harmless Pico Parade, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or any third-party right, including the rights of any child, guardian, or other parent; or (d) any dispute regarding custody, guardianship, or authorization to access information about a child.
12. Termination
Either party may terminate this agreement at any time. You may stop using the Service and request deletion of your account and data by contacting us. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your continued use poses a risk to the Service or to other users.
Upon request following termination, we will provide an export of your attendance data in a standard format. Attendance records will then be retained or deleted in accordance with our Privacy Policy and applicable Washington State retention requirements; other account data will be deleted within a reasonable period after termination, subject to legal retention obligations.
13. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify registered users by email at least thirty (30) days before the changes take effect, and we will require affirmative re-acceptance the next time you access the Service. For non-material changes (such as clarifications or typographical corrections), we will update the "Last updated" date at the top of these Terms.
We maintain a record of which version of these Terms you have accepted. You may request a copy of the version you accepted by contacting legal@picoparade.com.
14. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws provisions. The exclusive venue for any dispute arising out of or related to these Terms or the Service shall be the state or federal courts located in King County, Washington, and you and we each consent to the personal jurisdiction of those courts.
15. General
15.1 Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pico Parade, Inc. regarding the Service and supersede any prior agreements or communications.
15.3 Assignment
You may not assign or transfer these Terms or your account, in whole or in part, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, or to a successor entity.
15.4 Force Majeure
We will not be liable for any failure or delay in performance caused by events outside our reasonable control, including natural disasters, network failures, outages by upstream providers, governmental actions, or labor disputes.
15.5 Notice
Notices to us must be sent to legal@picoparade.com. Notices to you will be sent to the email address associated with your account; you are responsible for keeping that address current.
15.6 Survival
The following sections survive termination of these Terms: 5 (Data and Records), 6 (Child Data โ Authority and Consent), 7 (Ownership and License), 8 (Feedback), 9 (No Warranty), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law and Venue), and 15 (General).
15.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
